These Terms and Conditions of Membership (the “Conditions”) apply to all services ordered from or provided to you by Privé Hospitality Group, Inc. (“Privé”) in connection with Membership. By requesting services from Privé, you agree that these Conditions shall apply to those services and your order.

1. TERRITORIAL SCOPE
1.1 These Conditions apply to Members who reside in the United States or enroll in the Services while resident in the United States.
1.2 Members outside the United States are subject to the Privé Terms applicable to their jurisdiction.

2. DEFINITIONS AND INTERPRETATION
2.1 In these Conditions:
(a) “Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with Privé.
(b) “Benefits” means the benefits made available to Members by Suppliers.
(c) “Member” means a person accepted into Membership.
(d) “Membership” means the Member’s subscription-based access to Services and Benefits.
(e) “Request” means a request placed by a Member for Privé to research, recommend, coordinate, or arrange goods and/or services.
(f) “Services” means the lifestyle management and concierge services provided by Privé.
(g) “Supplier” means a third party engaged by Privé on behalf of a Member.
(h) “Member Portal” means any website, mobile application, or digital platform operated by Privé.

2.2 Standard rules of interpretation apply.

3. MEMBERSHIP APPLICATIONS
3.1 All Membership applications are subject to acceptance at Privé’s sole discretion.

3.2 Members must provide accurate and complete information and promptly update any changes.

3.3 Membership is personal and may not be transferred or shared except as permitted. The Member is responsible for all account activity.

4. MEMBERSHIP FEES, DUES, RENEWALS & PAYMENTS
4.1 Membership Fees consist of a one-time Joining Fee and ongoing annual Membership Dues.

4.2 Membership Dues define the level of access, service, and support and are payable in advance for each Membership year.

4.3 Membership Dues may vary by tier, service level, and term commitment, including multi-year structures where applicable.

4.4 Membership Fees and Dues are strictly non-refundable under all circumstances, except where required by applicable law.

4.5 Membership renews automatically unless canceled in writing at least thirty (30) days prior to renewal.

4.6 The Member authorizes Privé to charge their Payment Card for all Membership Fees, Dues, and authorized transactions, including providing such details to Suppliers when required.

4.7 Privé reserves the right to adjust Membership Dues upon renewal with advance notice. Continued use constitutes acceptance.

4.8 Privé may suspend or terminate Membership for non-payment, disputes, or reversals. All outstanding balances remain due.

5. CODE OF CONDUCT
5.1 Privé is a private, members-only environment requiring respectful conduct.

5.2 Abusive, discriminatory, or inappropriate behavior may result in immediate termination without refund.

6. SUPPLY OF SERVICES
6.1 Privé acts solely as an agent on behalf of the Member in arranging goods and services from Suppliers. The contract for such goods and services is between the Member and the Supplier.

6.2 Privé shall provide Services with reasonable care and skill but may decline Requests at its discretion.

6.3 Services are subject to Supplier availability and external conditions.

6.4 Services are provided based on Membership tier, reasonable usage, and operational capacity. Privé reserves the right to limit or prioritize Requests.

6.5 Privé does not guarantee availability, access, outcomes, or specific results.

6.6 Privé may receive commissions or benefits from Suppliers, which do not increase Member pricing.

7. PLACING A REQUEST
7.1 Requests may be submitted via mobile app, phone, email, or the Member Portal.

7.2 Privé may refuse or decline any Request at its sole and absolute discretion.

7.3 Members are responsible for providing accurate information and valid payment methods.

8. CANCELLATIONS, REFUNDS & RETURNS
8.1 Contracts for goods and services are between the Member and the Supplier.

8.2 Supplier terms apply, including cancellations and refunds.

8.3 Privé is not liable for Supplier performance.

8.4 Certain services are non-refundable and non-changeable.

9. SUPPLIERS
9.1 Suppliers are independent third parties responsible for delivery and quality.

9.2 Privé acts as an agent and shall not be liable for Supplier acts or omissions.

9.3 Supplier terms apply in all cases.

9.4 Members shall not directly engage or transact with Suppliers introduced by Privé outside of Privé without prior written consent.

10. INDEMNITY & LIMITATION OF LIABILITY
10.1 The Member agrees to indemnify, defend, and hold harmless Privé from all claims arising from Member conduct, breach, or misuse.

10.2 Privé shall not be liable for indirect or consequential damages.

10.3 Total liability shall not exceed Membership Fees paid in the preceding twelve (12) months.

10.4 Privé shall not be liable for Supplier performance or external events.

11. COMMENCEMENT & TERMINATION
11.1 These Conditions take effect upon acceptance of Membership.

11.2 Privé may suspend or terminate Membership at its discretion.

11.3 Certain provisions survive termination.

12. DISPUTE RESOLUTION & ARBITRATION
12.1 These Conditions shall be governed by the laws of the State of New York.

12.2 All disputes shall be resolved through binding arbitration on an individual basis.

12.3 Both parties waive the right to a jury trial or class action.

13. GENERAL
13.1 Privé may amend these Conditions with notice.

13.2 Privé may assign or subcontract obligations.

13.3 Nothing creates a partnership, joint venture, or employment relationship.

13.4 Third parties have no rights under these Conditions.

13.5 Privé shall not be liable for delays or failure due to events beyond its control, including force majeure events.

13.6 All Member information and interactions shall remain strictly confidential and shall not be disclosed without consent.
